This End User Agreement (“Agreement”) is entered into between Truepic, Inc. (“Truepic,” “we,” “us,” or “our”) and you (“you” or “User”) and governs your use of the Truepic application (both mobile and web applications are referred to as the “App”) that enables you to upload photographs and videos for digital provenance and authentication purposes (the “Services”).
By downloading, installing, accessing, or using the App, you accept and agree to be bound by this Agreement. If you do not agree to this Agreement, do not use the App.
The App enables you to upload photographs and videos to Truepic’s digital provenance and authentication platform for verification. The Services are provided to you through a Truepic customer (your “Provider”), which may be your insurance company, bank, employer, a platform you use, or another organization. Your Provider has contracted with Truepic to make the Services available to you.
Data Charges: The App requires an internet connection to function. You are responsible for all data, cellular, and internet charges incurred when downloading, installing, accessing, or using the App. Truepic is not responsible for any charges imposed by your mobile carrier or internet service provider.
Subject to your compliance with this Agreement, Truepic grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on a compatible mobile device that you own or control, solely for the purpose of uploading content for authentication as intended by the App’s functionality.

The App is not intended for use by individuals under the age of 18. By using the App, you represent and warrant that you are at least 18 years of age. If you are under 18, you may not download, install, or use the App.
If you are using the App on behalf of an organization or as directed by your Provider, you represent that you are authorized to agree to this Agreement on behalf of yourself and to bind yourself to these terms in connection with your use of the App for that organization or Provider.
If we learn that we have collected information from a user under the age of 18, we will deactivate the account and take reasonable measures to promptly delete such information from our records. If you become aware of any users under the age of 18 using the App, please contact us at support@truepic.com.
The App requires a compatible mobile device to function properly. Minimum requirements include:
Truepic does not warrant that the App will be compatible with all devices or operating system versions. The App may not function properly on:
You are responsible for ensuring your device meets the minimum requirements and is compatible with the App. Truepic reserves the right to update minimum requirements at any time.
To use the App, you may be required to create an account or authenticate through a smartlink or your Provider. You agree to:
You may not share your account credentials or smartlink or allow others to access your account.
Your use of the App and Services is also governed by:
These policies are incorporated into this Agreement by reference and are available within the App and at https://www.truepic.com/. You agree to comply with these policies as a condition of using the App. If you do not agree to those policies, do not use the App.
The App may incorporate certain third-party software and open source components that are subject to separate license terms. Nothing in this Agreement limits your rights under, or grants you rights that supersede, the license terms of any open source software incorporated into the App.
When you upload photographs, videos, information, text, images, graphics or other content (“Your Content”) through the App, you represent and warrant that:
You grant Truepic a royalty-free license to process, store, analyze, verify, and authenticate Your Content (including the personal information contained therein) to provide the Services and as otherwise permitted by Truepic’s Privacy Policy and the terms of any agreement you have with your Provider, including their privacy policy. No attribution, approval or compensation is due to you for Truepic’s use of Your Content.
We may also access, preserve and share Your Content and other information when Truepic has a good faith belief it is necessary to: detect, prevent and address suspicious activity, or fraud and other illegal activity; to protect ourselves, you and others, including as part of investigations; and to prevent death or imminent bodily harm. Information we receive about you may be accessed, processed and retained for an extended period of time when it is the subject of a legal request or obligation, governmental investigation, or investigations concerning possible violations of our terms or policies, or otherwise to prevent harm.
You agree that any ideas, suggestions, documents, and/or proposals submitted to Truepic through any suggestion, feedback, wiki, forum or similar pages or otherwise are owned by Truepic.
The App and all related technology, including but not limited to software, algorithms, user interfaces and data, designs, trademarks, and logos, are owned by Truepic or its licensors and are protected by intellectual property laws. Except for the limited license granted in Section 2, you acquire no rights in the App or any Truepic intellectual property and may not use, publish, reproduce, display, distribute, copy, frame, mirror, post, upload, download, transmit or modify the Truepic intellectual property or any portion thereof, for any purpose.
The Services provide authentication and verification analysis of Your Content. You acknowledge and agree that:

If you download the App from a third-party app store (such as the Apple App Store or Google Play Store), you also agree to that app store’s applicable terms of service. In the event of any conflict between this Agreement and the app store’s terms, this Agreement controls with respect to your use of the App, but the app store’s terms control with respect to your relationship with the app store.
Truepic may update, modify, or discontinue the App or Services at any time, with or without notice. Updates may be required to continue using the App. You agree that Truepic has no obligation to provide any updates or to continue to make the App or Services available.
We may modify this Agreement at any time by posting the revised Agreement in the App or on our website. Your continued use of the App after such modifications constitutes your acceptance of the modified Agreement.
THE APP AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
TRUEPIC DOES NOT WARRANT THAT:
YOUR USE OF THE APP AND SERVICES IS AT YOUR SOLE RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
TRUEPIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
TRUEPIC’S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE APP OR SERVICES SHALL NOT EXCEED FIFTY DOLLARS ($50.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
YOU ACKNOWLEDGE THAT TRUEPIC WOULD NOT HAVE ENTERED INTO THIS AGREEMENT WITH YOU OR OFFERED THE SERVICE TO YOU WITHOUT THE DISCLAIMERS OF WARRANTY AND LIMITATIONS OF BOTH LIABILITY AND DAMAGES SET FORTH IN THIS AGREEMENT.
You agree to indemnify, defend, and hold harmless Truepic, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from:
You may stop using the App at any time by deleting it from your device. Truepic or your Provider may suspend or terminate your access to the App or Services at any time, with or without cause or notice, for any reason, including if Truepic or your Provider believes you have violated this Agreement or the Acceptable Use Policy.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Before initiating any formal dispute resolution proceeding, you agree to first contact Truepic at support@truepic.com to attempt to resolve any dispute informally.
This Agreement is governed by and construed in accordance with the laws of the State of Delaware, United States of America, without giving effect to any choice or conflict of law provision or rule, and regardless of your location. All disputes, controversies, and claims arising out of or related to this Agreement or any Truepic policy, the relationship between you and Truepic, and the arbitration provisions contained herein, including the enforceability and validity thereof, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory, shall be finally settled through binding arbitration administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures then in effect; provided, however, either party may seek injunctive relief in a state or federal court in the State of Delaware (“Delaware Courts”), to prevent actual or threatened infringement of intellectual property rights or disclosure of confidential information. Each party, with respect to any such matters or actions, (i) irrevocably submits to the exclusive jurisdiction of the Delaware Courts, (ii) waives any objection to venue in any such action in the Delaware Courts, and (iii) waives any objection that the Delaware Courts are an inconvenient forum or do not have jurisdiction over any party hereto. The parties agree that any judgment entered by the Delaware Courts, or any temporary restraining order, order of specific performance, or preliminary or permanent injunction, may be enforced in any court of competent jurisdiction.
The arbitration shall take place in the State of Delaware and shall be conducted in English by a single arbitrator who has experience in software-as-a-service subscription agreements. All arbitration proceedings shall be conducted virtually via teleconference or secure video conference technology, unless the parties mutually agree in writing to conduct the arbitration in person. Neither party may unilaterally require in-person arbitration. The arbitrator shall have the authority to ensure that appropriate technology and procedures are used to conduct a fair virtual hearing, including but not limited to the ability to share documents electronically, present exhibits virtually, and examine witnesses via video conference. The arbitrator’s decision will follow the terms of this Agreement and will be final and binding. The arbitrator will have authority to award temporary, interim or permanent injunctive relief or relief providing for specific performance of this Agreement, but only to the extent necessary to provide relief warranted by the individual claim before the arbitrator. The arbitrator will have no authority to certify a class, award class-wide relief, or award relief on behalf of anyone other than the parties to this Agreement. Each party shall bear its own costs, fees, and expenses of arbitration. The arbitration proceedings, including any documents filed, testimony given, and the arbitrator's award, shall be kept confidential by the parties. The award rendered by the arbitrator may be entered in any court of competent jurisdiction.
You agree that all proceedings shall be brought on an individual basis only and not as a plaintiff, class representative, or class member in any purported class, collective, representative proceeding, or private attorney general proceeding. YOU AGREE THAT YOU MAY NOT INITIATE OR PARTICIPATE IN CLASS ARBITRATIONS OR CLASS ACTIONS AND YOU ARE AGREEING TO GIVE UP THE ABILITY TO PARTICIPATE IN A CLASS ACTION.
YOU IRREVOCABLY AND UNCONDITIONALLY WAIVE ANY RIGHT YOU MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY LEGAL ACTION ARISING OUT OF OR RELATING TO THIS AGREEMENT.
If you are a resident of the European Union, United Kingdom, or other jurisdiction where this dispute resolution provision is prohibited or unenforceable, this Section 18 does not apply to you, and disputes will be resolved in accordance with the laws and courts of your jurisdiction.
This Agreement, together with the Acceptable Use Policy and Privacy Policy, constitutes the entire agreement between you and Truepic regarding your use of the App and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.
If any provision of this Agreement will be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in effect and enforceable.
Truepic’s failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
You may not assign or transfer this Agreement, or any rights granted hereunder, without Truepic’s prior written consent. Truepic may assign this Agreement without your consent.
You may not use or export the App except as authorized by United States law and the laws of the jurisdiction in which the App was obtained. You represent that you are not located in a country subject to a U.S. government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. government list of prohibited or restricted parties.
This Agreement does not and is not intended to confer any rights or remedies upon any person other than the parties to this Agreement.
